These terms govern your use of Daybook and the services we provide. The outline below indicates what the full agreement will cover.
Each section is shown two ways: a plain-English summary on the left so it's easy to understand, and the legal version on the right. The summary is for clarity; the legal text is what governs.
The service
In plain English
We keep your books — bookkeeping and accounting done by employed accountants, with AI doing the routine work and a human reviewing it before anything is final.
The legal version
Daybook provides bookkeeping and accounting services performed by its personnel and supported by automated tooling. All material output is subject to human review prior to finalization. The scope of services, deliverables, and service levels will be defined in the final agreement and any applicable order form.
Your responsibilities
In plain English
Give us accurate information and timely access to the accounts we need. We can only keep your books right if what we're working from is right.
The legal version
You agree to provide complete and accurate information and to grant and maintain the access necessary for Daybook to perform the Service. Daybook is not responsible for inaccuracies arising from incomplete, incorrect, or untimely information or access provided by you.
Fees and billing
In plain English
What you pay, how often, and how to cancel — all spelled out clearly before you start. No surprise charges.
The legal version
Fees, billing frequency, payment terms, and cancellation and refund conditions will be set out in the final agreement and/or order form. Unless otherwise stated, fees are exclusive of applicable taxes.
Liability and disputes
In plain English
There are limits on what we're responsible for, and a defined way to sort out disagreements. Counsel will finalize this part.
The legal version
The final agreement will include limitations of liability, warranty disclaimers, indemnification terms, and the governing law and dispute-resolution procedure. These provisions are pending review by legal counsel and are not yet in effect.
